1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern access to and use of the Zuris website, SaaS application, software products, digital platforms and related services (“Service”) provided by Zuris Digital Systems Private Limited (“Zuris”, “Company”, “we”, “us” or “our”).

By accessing the website, registering an account, starting a trial, purchasing a subscription or using any part of the Service, you agree to these Terms.

If you use the Service on behalf of a company, law firm, organisation or other legal entity, you confirm that you have the authority to accept these Terms on its behalf.

If you do not agree to these Terms, you must not access or use the Service.

These Terms must be read together with our Privacy Policy, Refund and Cancellation Policy and any additional agreements applicable to your use of the Service.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They are generated by a computer system and do not require a physical or digital signature.

2. About Zuris and Nature of Services

Zuris is a software and technology company that develops, operates and provides digital platforms and technology solutions.

The Zuris platform is designed as an integrated technology ecosystem serving legal professionals, advocates, law firms, businesses, organisations, individuals and the general public.

Depending on the subscription, configuration and availability, the Service may include:

  • Legal research and information discovery.
  • Court judgment and case-law search.
  • Legal document management.
  • Case management and tracking.
  • Case-related information organisation.
  • AI-powered legal research assistance.
  • AI-assisted document extraction and analysis.
  • Judgment summaries and information classification.
  • Semantic search and intelligent information retrieval.
  • Whiteboard, diagramming and visualisation tools.
  • Evidence and information organisation.
  • Collaboration and workspace management.
  • Document creation and processing.
  • Notifications, reminders and scheduling tools.
  • Other technology-enabled legal and business functionalities.

Features may be added, modified, restricted or discontinued as the platform evolves, subject to applicable contractual and legal obligations.

Zuris operates as a technology and software service provider. Access to the platform does not, by itself, constitute engagement of Zuris as a legal representative, law firm or professional legal adviser.

3. User Categories and Eligibility

The Service may be used by different categories of customers, including:

Individual Users: Individuals, students, researchers, clients and members of the general public accessing available legal information, research, document-management and other permitted features.

Legal Professionals: Advocates, lawyers and other appropriately qualified legal professionals using professional functionalities.

Law Firms and Organisations: Law firms, legal departments, businesses and other entities using organisational workspaces, collaboration tools and related services.

Courts, Police and Other Institutions: Courts, police departments, government bodies and other institutions using Enterprise services, including the bench and investigation suites. Enterprise use is governed by a separate written agreement, which applies in addition to these Terms as set out in Section 36.

Users must be at least 18 years old and have the legal capacity required to enter into a binding agreement under applicable law.

Users accessing professional-only functionalities must satisfy any applicable professional eligibility or verification requirements.

Where an account is created on behalf of an organisation, the account creator confirms that they are authorised to represent that organisation.

Zuris may restrict particular features to designated user categories or verified professionals.

4. No Automatic Legal Representation by Zuris

Zuris is primarily a technology and software service provider.

Use of the platform does not automatically establish an advocate-client, attorney-client, solicitor-client or other professional legal relationship between Zuris and any user.

Providing software, research tools, document management, search functionality, AI assistance or technical support does not, by itself, constitute legal representation or professional legal advice.

Where the platform separately facilitates access to an independent advocate or qualified legal professional, that professional relationship will be governed by a separate engagement or arrangement between the relevant parties.

The responsibilities, fees, scope of engagement and professional obligations of such legal professionals must be established independently.

5. Technical Support, Legal Research Support and Professional Legal Services

Zuris may provide different categories of assistance depending on the applicable service and arrangement.

5.1 Technical Support

Technical support may include:

  • Account registration and access assistance.
  • Troubleshooting.
  • Application functionality guidance.
  • Subscription and billing assistance.
  • Document upload and processing support.
  • Platform configuration assistance.
  • Technical issue resolution.

Technical support does not constitute legal advice.

5.2 Legal Research and Platform Assistance

Zuris may provide assistance in navigating platform functionalities, locating legal information, understanding available search tools, organising research materials and using legal technology features.

Such assistance is intended to support the use of the platform and its information-retrieval capabilities.

Unless separately agreed through a lawful professional engagement, research assistance provided by Zuris does not constitute an individualised legal opinion, case strategy, legal representation or professional legal advice.

5.3 Professional Legal Advice

Where Zuris facilitates access to professional legal advice, such advice must be provided through a separately identified and appropriately qualified legal professional or an appropriately structured legal service arrangement.

The relevant professional must be responsible for their own legal opinions, advice, professional conduct and obligations.

The scope, fees, engagement conditions, confidentiality arrangements and responsibilities must be communicated separately.

Zuris does not automatically become the legal representative or professional adviser of a user merely because the user accesses such a service through the platform.

The provision of professional legal services through or in connection with Zuris is subject to applicable laws, professional regulations and the relevant service arrangement.

6. No Guarantee of Judgments, Case Outcomes or Legal Success

Zuris does not guarantee or promise any particular legal outcome, judicial decision, court judgment, case result, settlement, acquittal, conviction, litigation success or favourable legal determination.

The outcome of legal proceedings depends on numerous factors, including:

  • Facts and circumstances of the matter.
  • Evidence and supporting documents.
  • Applicable laws and regulations.
  • Judicial interpretation.
  • Procedural requirements.
  • Arguments and submissions.
  • Professional representation.
  • Decisions of courts and competent authorities.

These matters are beyond the control of Zuris.

Zuris does not guarantee that using its platform will improve the likelihood of success in any legal case, dispute, investigation, litigation or proceeding.

The Company shall not be responsible for a user’s failure to obtain a favourable judgment, successful settlement, desired legal result or other expected outcome merely because the user accessed or relied upon the platform.

Nothing in this section excludes liability that cannot legally be excluded.

7. AI-Generated Information and Automated Outputs

Zuris may provide AI-powered services using self-hosted models and authorised third-party AI providers.

AI functionalities may include:

  • Legal research assistance.
  • Document summarisation.
  • Judgment analysis.
  • Information extraction.
  • Semantic search.
  • Document classification.
  • Legal information organisation.
  • Question answering.
  • Content generation.
  • Case-related analysis and visualisation.

AI-generated outputs are produced through automated computational processes and may contain errors, omissions, outdated information, inaccurate references, fabricated citations or misleading interpretations.

Zuris does not guarantee that AI-generated information is accurate, complete, current, unique, legally valid or suitable for any particular purpose.

Users must independently review and verify AI-generated outputs before relying upon them in professional work, legal proceedings, court filings, business decisions or other important activities.

AI-generated information must not be treated as an independently verified judicial determination or professional legal opinion.

8. Judgments, Statutes and Third-Party Legal Information

The platform may provide access to, organise, index, retrieve or display judgments, case laws, statutory provisions, regulations, court records and other legal materials obtained from public records, government sources, licensed databases or third-party information providers.

Such information may be modified, withdrawn, superseded, delayed, incomplete or unavailable.

Zuris does not independently guarantee the authenticity, accuracy, completeness, current validity or legal applicability of every third-party legal record or reference.

Users must independently verify:

  • Original court judgments.
  • Official statutory provisions.
  • Legislative amendments.
  • Current legal applicability.
  • Case status and procedural information.
  • Court orders and directions.
  • Other relevant legal records.

The availability of a judgment or legal reference through the platform does not guarantee that it remains valid, applicable or authoritative for a particular matter.

Case status, hearing dates and orders looked up by case number are fetched from the courts’ public websites, such as eCourts. They are only as accurate and current as those websites, and a lookup may fail or be delayed when a court website is unavailable.

9. Case Management, Hearings and Deadlines

The platform may provide tools to organise cases, hearings, tasks, reminders, documents, schedules and other case-related information.

These tools are intended to assist users with administrative and information-management activities.

Users and legal professionals remain responsible for:

  • Monitoring hearing dates.
  • Tracking limitation periods.
  • Meeting statutory deadlines.
  • Preparing and submitting court filings.
  • Monitoring judicial orders.
  • Verifying case status.
  • Maintaining accurate records.
  • Ensuring compliance with procedural requirements.

Reminders, alerts and scheduling features are supplementary tools and must not be treated as guaranteed substitutes for independent deadline monitoring.

Reminders may be sent in the app and by email, SMS or WhatsApp. Zuris does not guarantee that every notification will be delivered, received or viewed at a particular time, including where a message is delayed or rejected by an email, telecom or messaging provider.

Users must maintain appropriate independent procedures for monitoring important legal obligations.

10. Court Filing and External Legal Integrations

The platform may, in the future, introduce integrations or functionalities involving court systems, government portals, electronic filing or other external legal services.

Unless expressly provided through an enabled feature and applicable separate terms, Zuris does not undertake to file, submit, register or represent any case or legal document before a court, tribunal, authority or government body on behalf of a user.

Where such functionality is introduced:

  • The applicable service scope will be separately communicated.
  • Users must provide appropriate authorisations.
  • Users must review and approve documents before submission where required.
  • Users remain responsible for the correctness and completeness of submitted information.
  • Applicable filing fees and third-party charges must be disclosed.
  • External system requirements and acceptance procedures will apply.

Uploading, preparing or transmitting a document through the platform does not automatically mean that it has been successfully filed, accepted or registered by a court or authority.

Users must independently verify filing acknowledgements, submission status and acceptance.

11. Whiteboard, Visualisation and Collaboration Tools

The platform may provide whiteboard, diagramming, visualisation, collaboration and information-mapping functionalities.

These features may allow users to organise facts, events, evidence, documents, relationships and other information.

Visualisations represent information entered, selected or generated through the platform.

They do not constitute verified findings of fact, legal conclusions, judicial determinations or authenticated evidence.

Users are responsible for reviewing the accuracy, completeness and appropriateness of information represented through these tools.

12. Account Registration and Security

Users must:

  • Provide accurate and current registration information.
  • Maintain accurate billing information.
  • Keep login credentials confidential.
  • Protect account access.
  • Promptly notify Zuris of suspected unauthorised access.
  • Ensure that authorised users comply with these Terms.
  • Avoid unauthorised sharing of account credentials.
  • Maintain appropriate access controls.

You can sign in with a one-time code sent by email or SMS, a password, or Google. Each account may be limited to a number of signed-in devices, and you can see and sign out your devices from your account.

Users are responsible for activities conducted through their accounts to the extent attributable to their actions, negligence or failure to protect credentials.

Zuris may suspend or restrict accounts where reasonably necessary to protect the Service, users or the Company’s legitimate interests, subject to applicable law.

13. Organisational Accounts and User Permissions

Where the platform supports organisational workspaces, the organisation may designate administrators and authorised users.

Organisation administrators may be responsible for:

  • Adding and removing users.
  • Assigning access permissions.
  • Managing workspace configurations.
  • Controlling organisational subscriptions.
  • Managing access to organisational content.
  • Maintaining account security.

Organisations must ensure that users have appropriate authority to access relevant information.

When an employee, advocate or other authorised user leaves an organisation, the organisation should promptly update or revoke their access.

Zuris is not responsible for permissions incorrectly configured or retained by an organisation, except to the extent liability arises from Zuris’s own breach of applicable obligations.

14. Seven-Day Free Trial

Eligible users may receive a seven-day free trial.

The trial conditions are:

  1. No payment card is required to start the trial.
  2. The trial begins when the account is activated.
  3. The trial runs for seven consecutive days unless otherwise stated in the applicable offer.
  4. Trial access may be subject to feature, storage, usage and support limitations.
  5. The trial does not automatically convert into a paid subscription.
  6. No automatic payment will be collected merely because the trial expires.
  7. Continued access requires the user to actively select a subscription plan and complete payment.

When the trial ends without a paid plan, sign-in to the trial workspace stops. Fourteen days later, the trial workspace, its accounts and all its Customer Content are permanently deleted and cannot be recovered. Buying a plan before then keeps everything. Download any documents you need before the trial ends.

15. Subscription Plans, Pricing and Taxes

Zuris may offer monthly, annual or other subscription plans.

The applicable plan, pricing, billing period, features, usage limits and material conditions will be displayed before purchase.

Launch or introductory prices apply only for the period stated in the offer. After that period, the price shown at checkout applies.

Subscription pricing is not fixed by these Terms and may be changed in accordance with applicable law and notice requirements.

Prices shown on our website and at checkout include GST. Any other charge is shown before payment.

Zuris may issue tax invoices containing statutory information required under applicable law.

Customers are responsible for providing accurate billing information and valid tax registration details where applicable.

16. Manual Renewal and Payments

Subscriptions are renewed manually.

Zuris does not automatically charge customers for a new subscription period solely because they previously purchased a plan.

To continue using paid services after expiry, customers must actively select the relevant plan and complete payment.

Payments are processed by Razorpay and the banks and card networks behind it, which have their own terms and privacy practices.

A purchase is complete once Razorpay confirms the payment to us. If your browser closes or your connection drops after you pay, the purchase still completes as soon as Razorpay confirms it, usually within a few minutes.

Zuris does not receive or store full card numbers, CVV, UPI PIN or net-banking passwords. We keep the payment details described in the Privacy Policy.

17. Cancellation and Refunds

Customers may discontinue use of the Service at any time.

Because renewal is manual, nothing needs to be cancelled to avoid a further charge. Paid access continues until the end of the period already paid for.

Payments are generally non-refundable after purchase, including in cases of unused subscription time, partial usage or change of mind, except where a refund or other remedy is required under applicable law or another mandatory legal right.

Customers may upgrade or downgrade their plan. Any amount payable for a change is shown before the change is confirmed.

Specific refund and cancellation conditions may be provided in the separate Refund and Cancellation Policy.

For billing and refund enquiries, contact billing@zuris.ai.

Nothing in this section limits mandatory consumer rights or remedies available under applicable law.

18. Customer Content and Ownership

“Customer Content” means all documents, information, files, prompts, queries, messages, images, case records, whiteboard content and other materials uploaded, submitted, created, stored or processed by users through the Service.

Customers retain the ownership rights they already hold in their Customer Content, subject to applicable third-party rights.

Uploading Customer Content does not transfer ownership to Zuris.

Customers grant Zuris a limited, non-exclusive permission to host, store, process, transmit, reproduce and display Customer Content only as reasonably necessary to:

  • Provide requested services.
  • Operate and maintain the platform.
  • Deliver requested AI functionalities.
  • Maintain platform security.
  • Provide technical support.
  • Comply with applicable legal requirements.
  • Perform other purposes expressly authorised by the customer.

This permission does not grant Zuris ownership of Customer Content.

19. Customer Responsibilities for Uploaded Information

Customers are responsible for ensuring that they have the legal right, authority and necessary permissions to upload, store, process or share information through the platform.

Customers must:

  • Respect applicable confidentiality obligations.
  • Obtain necessary permissions before uploading another person’s personal information.
  • Ensure lawful handling of client and case documents.
  • Respect intellectual property rights.
  • Avoid uploading unlawful or unauthorised material.
  • Verify the accuracy of submitted information.
  • Maintain appropriate copies of important documents.
  • Manage access to confidential information.
  • Ensure uploaded materials comply with applicable law.

Customers remain responsible for their own professional obligations concerning client confidentiality, legal privilege and case-related information.

Nothing in these Terms automatically creates or guarantees any particular legal privilege or professional confidentiality status.

20. AI Training and Customer Data

Zuris uses self-hosted and third-party AI models to provide AI-assisted features.

Customer Content may be processed as necessary to deliver AI functionalities expressly requested by customers.

Zuris does not authorise third-party AI providers to use Customer Content to train general-purpose AI models for their independent benefit.

Customer Content will not be used by Zuris for additional AI model training or model-improvement purposes without explicit customer permission and an appropriate lawful basis.

Any such permission must be separate from ordinary acceptance of these Terms or the Privacy Policy.

The applicable processing conditions will also be governed by the Privacy Policy and any additional customer agreement.

21. Intellectual Property Rights

The Zuris platform, including its software, source code, architecture, design, branding, logos, interfaces, documentation, proprietary technologies and related intellectual property, is owned by Zuris or its respective licensors.

Nothing in these Terms transfers ownership of such intellectual property to customers.

Subject to compliance with these Terms and applicable subscription conditions, Zuris grants users a limited, non-exclusive, non-transferable and revocable right to access and use the Service during the applicable trial or paid subscription period.

Users must not:

  • Copy or reproduce proprietary software without permission.
  • Redistribute or resell the platform.
  • Remove proprietary notices.
  • Misappropriate Zuris branding.
  • Use proprietary components to create unauthorised competing services.
  • Exploit the platform beyond the rights expressly granted.

All rights not expressly granted are reserved by Zuris or its licensors.

22. Acceptable Use

Users agree not to use the Service for unlawful, fraudulent, deceptive, abusive or infringing activities.

Prohibited activities include:

  1. Uploading information without appropriate rights or authority.
  2. Violating another person’s privacy or confidentiality.
  3. Uploading malware or malicious code.
  4. Attempting unauthorised access.
  5. Bypassing authentication or security controls.
  6. Interfering with platform availability or performance.
  7. Scraping, extracting or harvesting data without authorisation.
  8. Reselling or commercially exploiting the Service without permission.
  9. Circumventing subscription or usage restrictions.
  10. Impersonating another individual.
  11. Uploading misleading or unlawful material.
  12. Violating intellectual property rights.
  13. Misusing the platform to facilitate unlawful conduct.
  14. Attempting to compromise infrastructure or other users’ accounts.
  15. Using the platform to unlawfully obtain, disclose or distribute confidential legal records.

Users must comply with applicable laws and regulations when accessing or using the Service.

23. Reverse Engineering and Security

Except to the extent a restriction is prohibited by applicable law, users must not:

  • Reverse engineer or decompile software.
  • Attempt to derive source code.
  • Circumvent encryption or security controls.
  • Probe or interfere with infrastructure.
  • Conduct unauthorised vulnerability testing.
  • Attempt to gain unauthorised access to databases, networks or systems.
  • Exploit security vulnerabilities.

Security testing must not be conducted without prior written authorisation from Zuris.

Nothing in this section restricts activities expressly permitted by applicable law.

24. Data Security and Backups

Zuris uses reasonable technical and organisational measures designed to protect the platform and Customer Content.

However, no electronic system or transmission method can be guaranteed to be completely secure or uninterrupted.

Customers should maintain appropriate independent copies of important documents and records, particularly where the Service does not expressly provide a guaranteed backup, export or recovery facility.

To the maximum extent permitted by applicable law, Zuris shall not be responsible for data loss arising from factors outside its reasonable control, customer-side security failures, unauthorised credential sharing or customer failure to maintain necessary copies.

This section does not exclude liability arising from obligations that cannot lawfully be excluded.

25. Third-Party Services and Integrations

The Service may rely on third-party providers for:

  • Cloud hosting and infrastructure.
  • AI and machine learning.
  • Payment processing.
  • Email and messaging.
  • Security monitoring.
  • Analytics.
  • Storage and backup.
  • External integrations.
  • Government or court-related integrations, where available.

Such providers may have separate contractual terms and operational limitations.

Zuris does not control every aspect of third-party infrastructure or independent services.

To the extent permitted by law, Zuris shall not be responsible for independent third-party failures or actions outside its reasonable control.

However, this provision does not exclude Zuris’s own contractual or statutory obligations.

26. Service Availability and Interruptions

Zuris aims to maintain reliable access to the platform but does not guarantee uninterrupted or error-free availability unless a separate written service-level agreement expressly provides otherwise.

Access may be affected by:

  • Scheduled maintenance.
  • Software updates.
  • Security maintenance.
  • Cloud infrastructure failures.
  • Third-party provider outages.
  • Internet connectivity problems.
  • Hardware or software failures.
  • Cybersecurity incidents.
  • Events outside reasonable operational control.

Zuris will take reasonable steps to restore affected services where practicable.

Where possible, users may be notified of planned maintenance or material service interruptions.

27. Suspension and Termination

Customers may stop using the Service and request account closure through available account controls or customer support.

Zuris may suspend, restrict or terminate access where reasonably necessary due to:

  • Material violation of these Terms.
  • Unlawful activities.
  • Suspected fraud.
  • Security threats.
  • Unauthorised access.
  • Abuse of the platform.
  • Non-payment.
  • Legal or regulatory requirements.
  • Risks to other users or the Company’s infrastructure.

Where reasonably practicable and legally permissible, Zuris will provide notice and an opportunity to address the relevant issue.

In urgent cases involving security, unlawful conduct or legal requirements, access may be restricted immediately.

28. Consequences of Termination

Upon account termination or subscription expiry:

  • Access to paid features may be discontinued.
  • User authentication may be disabled.
  • Organisational workspace access may be restricted.
  • Customer Content may become unavailable.
  • Outstanding payment obligations remain payable.
  • Data retention and deletion will follow the Privacy Policy and applicable agreements.

Customers should download or independently retain important information before termination. Unpaid trial workspaces are deleted as set out in Section 14.

Any post-termination retention, deletion or preservation of information will be governed by applicable legal obligations, the Privacy Policy and separate contractual arrangements.

29. Limitation of Liability

To the maximum extent permitted by applicable law, Zuris shall not be liable for indirect, incidental, special, exemplary or consequential damages, including loss of profits, revenue, business opportunities, goodwill or anticipated savings.

This limitation applies, where legally permissible, to claims arising from:

  • Use or inability to use the Service.
  • Reliance on unverified AI-generated outputs.
  • Incorrect or incomplete third-party legal information.
  • User decisions or professional actions.
  • Failure to obtain a desired judicial or legal outcome.
  • Missed deadlines resulting from failure to independently monitor obligations.
  • Third-party infrastructure or service failures.
  • Unauthorised access resulting from customer-side credential compromise.
  • Events outside Zuris’s reasonable control.

To the maximum extent permitted by law, the aggregate liability of Zuris for claims arising out of or relating to the Service shall not exceed the subscription fees actually paid to Zuris for the relevant Service during the three months immediately preceding the event giving rise to the claim.

This limitation does not apply to liabilities that cannot legally be limited or excluded, mandatory consumer rights, or other liabilities that applicable law requires to remain enforceable.

Nothing in these Terms shall be interpreted as excluding liability arising from fraud, wilful misconduct or other non-excludable legal obligations.

30. Indemnification

To the extent permitted by applicable law, users agree to indemnify and hold harmless Zuris, its directors, officers, employees and authorised representatives against third-party claims, losses and reasonable costs arising directly from:

  • Unlawful Customer Content submitted by the user.
  • Infringement of third-party intellectual property rights by the user’s content.
  • Unauthorised disclosure of another person’s information by the user.
  • The user’s material violation of these Terms.
  • Fraudulent or unlawful use of the Service.
  • The user’s breach of applicable law.

This provision does not apply to the extent a claim results from Zuris’s own wrongful conduct or other liability that cannot lawfully be shifted to the user.

31. Force Majeure

Zuris shall not be responsible for delays or failures in performing obligations to the extent caused by events beyond its reasonable control.

Such events may include natural disasters, war, terrorism, government actions, widespread internet failures, cloud infrastructure disruptions, power failures, cyberattacks and other extraordinary events.

Zuris will take reasonable steps to mitigate the effects of such events and restore affected services where practicable.

This provision does not excuse obligations that cannot legally be excused.

32. Changes to the Service and These Terms

Zuris may update, modify or introduce new platform features and functionalities from time to time.

We may also revise these Terms to reflect changes in services, business operations, technology or applicable law.

The latest version will be published on the website or platform with an updated revision date.

Where legally required, we will provide additional notice or obtain consent before material changes take effect.

Continued use of the Service following the effective date of an updated version constitutes acceptance where such acceptance is legally valid. Where fresh consent is required, continued use alone will not replace that requirement.

33. Governing Law and Jurisdiction

These Terms are governed by the laws of India, subject to applicable mandatory legal protections.

Disputes arising from or relating to these Terms shall be addressed through courts or other forums having jurisdiction under applicable Indian law.

Nothing in these Terms restricts any mandatory right available to a consumer to approach a competent consumer commission, regulator or other lawful forum.

34. Severability

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, the remaining provisions shall continue to apply to the extent legally permissible.

The invalid provision shall be interpreted or modified only to the extent necessary to make it enforceable, where legally permitted.

35. No Waiver

Failure by Zuris to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

36. Entire Agreement and Order of Precedence

These Terms, together with the Privacy Policy, the Refund and Cancellation Policy and any additional agreements expressly incorporated into them, constitute the agreement governing use of the Service.

Where a separately signed enterprise agreement, Data Processing Agreement or other written contract contains specific terms that conflict with these Terms, the order of precedence shall be determined by the applicable agreement.
